Terms of Service

Welcome to Lokuli! These Terms of Service ("Terms") govern your access to and use of the Lokuli platform, including our website at lokuli.com, mobile applications, and AI-powered integrations (collectively, the "Service"). By using Lokuli, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Lokuli, you confirm that:

You are at least 13 years of age (or 18 for certain services)
You have the legal capacity to enter into a binding agreement
You will comply with these Terms and all applicable laws
If using on behalf of an organization, you have authority to bind that organization

If you do not agree to these Terms, you may not use the Service.

2. Service Description

2.1 What Lokuli Is

Lokuli is a technology platform that connects consumers ("Users") with independent local service providers ("Providers"). Our services include:

Service Discovery: Search and browse local service providers across 75+ service categories
Online Booking: Schedule appointments with providers directly through our platform
Payment Processing: Secure payment handling via Stripe
AI-Assisted Booking: Book services through conversational AI interfaces including ChatGPT
Provider Dashboard: Tools for service providers to manage their business

2.2 Service Brokerage Model

                How Lokuli Works: Lokuli operates as a service brokerage and concierge platform. This means we may coordinate and arrange services on your behalf with local service providers, including businesses that are not formally affiliated with Lokuli.
            

Under our brokerage model:

Provider Listings: Our platform includes both affiliated service providers who have partnered with Lokuli, as well as listings compiled from publicly available business information
Pricing: Lokuli sets the prices displayed on our platform. These prices may differ from prices offered directly by service providers and include Lokuli's service coordination fee
Coordination Services: When you book through Lokuli, we may contact and coordinate with service providers on your behalf to arrange and confirm your appointment
Service Fulfillment: The actual service is performed by independent service providers, not by Lokuli

2.3 What Lokuli Is Not

Important: While Lokuli coordinates services, we are NOT the service provider. We do not employ the service providers, nor do we perform the services ourselves. Providers are independent businesses solely responsible for the quality and delivery of services they provide.

3. User Accounts

3.1 Account Creation

Some features require an account. When creating an account, you agree to:

Provide accurate, current, and complete information
Maintain and update your information as needed
Keep your login credentials secure and confidential
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

3.2 Account Termination

We may suspend or terminate your account if you:

Violate these Terms or our policies
Engage in fraudulent or illegal activity
Harass service providers or other users
Provide false information
Fail to pay for services

4. Booking and Payments

4.1 Making Bookings

When you book a service through Lokuli:

For Affiliated Providers: You are entering into an agreement directly with the service provider, facilitated by Lokuli
For Public Listings: You are engaging Lokuli to coordinate and arrange the service on your behalf. Lokuli will contact the provider to schedule your appointment
Booking confirmation is subject to provider availability and acceptance
For public listings, we cannot guarantee the provider will accept the booking. If a provider declines, we will offer alternatives or a full refund
You agree to provide accurate information for the appointment

4.2 Pricing and Payments

All payments are processed through Stripe. By making a payment, you agree that:

You authorize the charge to your selected payment method
You are responsible for any applicable taxes
Prices are set by Lokuli and include our service coordination fee. Prices on our platform may be higher than prices offered directly by service providers
The price you pay covers both the service provider's fee and Lokuli's coordination and platform services
Price differences are disclosed: the amount you pay through Lokuli includes our brokerage fee for arranging and coordinating your service

Pricing Transparency: Lokuli's prices reflect the value of our concierge service, including provider research, availability coordination, booking management, and customer support. You are always free to contact service providers directly if you prefer.

4.3 Cancellations and Refunds

Cancellation Policy: Each service provider sets their own cancellation policy. Please review the provider's policy before booking. Generally:

24+ hours notice: Full refund typically available
Less than 24 hours: May be subject to cancellation fee
No-shows: Generally non-refundable

To request a cancellation or refund, contact the service provider directly or email support@lokuli.com.

5. AI-Assisted Booking (ChatGPT Integration)

5.1 Using Lokuli via AI

When you access Lokuli through ChatGPT or other AI assistants:

These Terms still apply in full
Your interactions are also subject to OpenAI's Terms of Use
AI recommendations are informational and may not be perfect
Always verify booking details before confirming

5.2 AI Limitations

                AI Disclaimer: Our AI-powered features provide assistance based on available data. While we strive for accuracy, AI recommendations may occasionally be incomplete or incorrect. Users should verify critical information such as pricing, availability, and service details directly with providers.
            

6. User Conduct

6.1 Acceptable Use

You agree to use Lokuli only for lawful purposes. You will NOT:

Violate any laws, regulations, or third-party rights
Harass, threaten, or discriminate against providers or users
Submit false, misleading, or fraudulent bookings
Attempt to circumvent payment through the platform
Scrape, harvest, or collect data without authorization
Introduce malware, viruses, or harmful code
Interfere with the platform's operation or security
Impersonate others or misrepresent your identity
Use the service for any illegal or unauthorized purpose

6.2 Reviews and Feedback

When leaving reviews, you agree to:

Base reviews on genuine experiences
Be truthful and fair in your assessments
Not post defamatory, obscene, or discriminatory content
Not post reviews in exchange for compensation

7. Service Provider Relationships

7.1 Types of Provider Listings

Lokuli's platform includes two types of service provider listings:

Affiliated Providers: Service providers who have formally partnered with Lokuli. These providers have agreed to our service standards and work directly with our platform
Public Listings: Service providers listed based on publicly available business information. These businesses may not have a formal relationship with Lokuli, and we coordinate services with them on your behalf when you book

                Note: When you book a service with a public listing, Lokuli acts as your concierge—we contact the provider, coordinate the appointment, and manage the booking on your behalf. The provider may be unaware of Lokuli until we reach out to arrange your service.
            

7.2 Independence of Providers

All service providers on Lokuli—whether affiliated or publicly listed—are independent businesses, NOT employees or contractors of Lokuli. This means:

Providers are responsible for the quality of their services
Providers maintain their own licenses, insurance, and certifications
Lokuli does not supervise, direct, or control the actual services performed
Your contract for the service itself is with the provider, not Lokuli

7.3 Provider Verification

While we make efforts to verify provider information, Lokuli does NOT guarantee:

The accuracy of provider listings or credentials
The quality, safety, or legality of services offered
Provider availability or willingness to accept bookings
Completion or satisfaction of any service

For public listings, provider information is compiled from publicly available sources and may not always be current or accurate.

8. Intellectual Property

8.1 Lokuli's IP

All content, features, and functionality of the Service, including but not limited to:

The Lokuli name, logo, and branding
Website and app design, graphics, and user interface
Software, algorithms, and underlying technology
Documentation, text, and marketing materials

are owned by Lokuli or our licensors and protected by intellectual property laws.

8.2 User Content

By posting content (reviews, photos, etc.) on Lokuli, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with the Service.

8.3 Trademarks

"Lokuli," "SmogNow," "AutoNow," and associated logos are trademarks of Lokuli. You may not use our trademarks without prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Lokuli disclaims all warranties, including:

Merchantability and fitness for a particular purpose
Non-infringement of third-party rights
Accuracy, reliability, or completeness of content
Uninterrupted or error-free operation
Security or freedom from viruses

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Lokuli is NOT liable for any indirect, incidental, special, consequential, or punitive damages
Lokuli is NOT liable for damages arising from provider services or conduct
Lokuli is NOT liable for lost profits, data loss, or business interruption
Our total liability shall not exceed the amount you paid to Lokuli in the 12 months preceding the claim, or $100, whichever is greater

Some jurisdictions do not allow limitation of liability, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Lokuli, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your interactions with service providers

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@lokuli.com and attempt to resolve the matter informally for at least 30 days.

12.2 Arbitration Agreement

If we cannot resolve a dispute informally, you and Lokuli agree to resolve any claims through binding arbitration, rather than in court, except for claims that may be brought in small claims court.

12.3 Class Action Waiver

Class Action Waiver: You agree to resolve disputes with Lokuli on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Los Angeles County, California.

14. Changes to Terms

We may modify these Terms at any time. Changes will be effective when posted. Material changes will be communicated via:

Email to registered users
Notice on our website
In-app notification

Continued use after changes constitutes acceptance. If you disagree with changes, discontinue use of the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lokuli.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

15.3 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign your rights under these Terms. Lokuli may assign its rights without restriction.
